SoSu.TV – Terms & Conditions (2025)

1. General Terms
All services provided by SoSu.TV (“Provider”) are governed by these Terms & Conditions. Client (“Client”) agrees to be bound by these terms upon entering into an agreement for services.
2. Payment Terms
• Deposits: A minimum 50% deposit is required to commence work on all production projects. Remaining balance is due upon project delivery or the day of the event, unless paid in full up front.
• Broadcast Contracts: Billed monthly or annually per agreement terms.
• Late Payments: Invoices are considered late after 30 days. A 3% monthly late fee will be applied until paid in full. Costs incurred during collection will be added to the balance. Continued delinquency may result in account closure and referral to a collections agency.
• Credit Card Payments: Subject to a 3% processing fee if made by phone or online.
3. Cancellations & Termination
• Production Projects: Cancellation by Client will incur a 30% cancellation fee.
• Crew or Equipment: Cancellations or modifications without 48 hours’ notice (weekends excluded) may incur 100% of the scheduled rate.
• Agreements terminate automatically upon fulfillment of services.
4. Changes to Scope of Work
Any requested revisions that result in additional costs will be disclosed in writing. Work will only proceed after written approval. Meeting deadlines requires timely delivery of assets (logos, scripts, content) and prompt Client feedback.
5. Force Majeure & Contingency Days
SoSu.TV is not liable for delays or nonperformance due to events beyond its control, including natural disasters, equipment failure, illness, labor strikes, riots, terrorism, or acts of God.
Contingency Days: Additional days required due to uncontrollable circumstances (e.g., weather, missing talent, protests) will be quoted in advance and billed upon approval.
6. Live Meeting Coverage
Remote Operations
• Meetings beginning at or after 2:00 PM, or outside 8:00 AM – 5:00 PM, or lasting less than 3 hours, will be operated remotely from SoSu.TV’s Reno, NV office.
• SoSu.TV reserves the right to switch to remote operation without prior notice due to inclement weather, acts of God, criminal activity, protests, or threats to staff safety.
• A redundant cellular internet solution is available to ensure reliable service during outages.
On-Site Connectivity Services
• Available upon request and may incur additional fees.
7. Streaming Requirements
Client venues must meet the following for livestreaming:
• Minimum 10mbps upload/download
• Latency <80ms, packet loss <0.01%, low jitter
• Audio and production staging to be provided during site survey
• Dedicated switch port, 100mbps or gigabit preferred
• Additional fees apply if SoSu.TV must provide or configure internet, audio, or staging at venue
8. Storage of Digital Works
• Final edited files will be retained by SoSu.TV for one (1) year.
• Raw footage will be stored for three (3) months following final approval.
• Clients are responsible for archiving all delivered content.
• A complete archival hard drive may be provided for an additional fee.
• SoSu.TV does not guarantee media longevity or future compatibility of digital formats.
• SoSu.TV does not deliver project source files, including edit timelines or EDLs.
9. Intellectual Property
Ownership
• Upon full payment, the Client owns all licensed and deliverable media content (e.g., text, graphics, photos, video) specifically created for the Client. SoSu.TV retains copyright to the underlying project files and working elements unless otherwise agreed.
Client Materials
• Client represents that all materials provided to SoSu.TV are properly licensed or owned by Client.
• Client agrees to indemnify, defend, and hold harmless SoSu.TV from any claims related to infringement, misuse, or unauthorized use of third-party materials.
Portfolio Use
• SoSu.TV reserves the right to display finished content in its portfolio or for promotional purposes unless otherwise prohibited by contract.
10. Design Fees
Custom AV designs and equipment proposals tailored to specific locations are subject to a 10% design fee, calculated from the total equipment/integration estimate.
11. Limitation of Liability
• SoSu.TV is not liable for incidental, indirect, or consequential damages, including lost revenue or production delays due to Client actions, omissions, or late asset delivery.
• No warranties are expressed or implied, including fitness for a particular purpose.
• SoSu.TV guarantees a high-quality final product and assumes full responsibility for third-party vendors under its direction.
• Backup equipment is maintained, but SoSu.TV is not liable for losses due to technical failure.
• SoSu.TV maintains $2M in insurance coverage, including liability, equipment, vehicle, worker, and third-party coverage.
12. Governing Law & Venue
This agreement is governed by the laws of the State of Nevada.
Any legal dispute shall be resolved exclusively in the courts located in Washoe County, Nevada.
This agreement is effective upon signature by both parties and constitutes the entire agreement between SoSu.TV and Client.
